Groomly — Terms of Service

1. Introduction and Acceptance

Welcome to Groomly ("Groomly", "we", "us", or "our"). Groomly is a SaaS platform that helps independent pet groomers protect their business from no-shows by collecting card-on-file at appointment confirmation and automatically charging a no-show fee when clients fail to appear.

These Terms of Service ("Terms") govern your access to and use of the Groomly platform, including our website at groomly.app, our web application, and any related services (collectively, the "Service").

By registering for an account, clicking "I agree," or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms constitute a legally binding agreement between you and Groomly. Groomly is operated by Manuel Frauca, a self-employed professional (autónomo) registered in Spain.

2. Description of the Service

Groomly provides the following features to registered groomer accounts:

  • Creation of appointment records with client details, service information, date, time, and price
  • Generation of a unique confirmation link per appointment
  • A client-facing confirmation page where the client reviews appointment details, reads the cancellation policy, and saves their payment card via Stripe
  • Automatic no-show detection and card charging based on the groomer's configured rules
  • Dashboard to manage appointments and view payment status

Groomly is NOT a booking system. Groomers manage their own schedules independently. Groomly solely handles the confirmation and no-show protection layer.

The Service is provided in its current form ("as-is"). As an early-stage platform, features may be added, modified, or removed at any time. Groomly will make reasonable efforts to communicate significant changes in advance but is not obligated to maintain any specific feature set. This clause applies especially during the founding period while the product is in active development.

3. Account Registration and Eligibility

To use Groomly as a groomer, you must:

  • Be at least 18 years of age
  • Be a professional pet groomer or operate a pet grooming business
  • Provide accurate and complete registration information
  • Connect a valid Stripe account to receive payouts
  • Agree to Stripe's Terms of Service independently

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@groomly.app if you suspect unauthorized access.

Groomly reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the platform.

4. Groomer Responsibilities

As a groomer using Groomly, you agree to:

  • Communicate your cancellation and no-show policy clearly to clients before sending them a Groomly confirmation link
  • Only create appointment records for legitimate appointments that have been verbally or otherwise agreed upon with the client
  • Set fair, transparent no-show fees that comply with applicable local laws in your jurisdiction
  • Not use Groomly to charge clients for anything other than legitimate no-show fees as disclosed at the time of booking
  • Comply with all applicable laws in your jurisdiction regarding card-on-file practices and consumer protection
  • Obtain any consent required by applicable law from your clients before entering their personal data (name, phone number, email) into the Groomly platform

You acknowledge that Groomly is a tool to enforce your own policies, and that you — not Groomly — are responsible for the grooming services provided and the client relationships maintained. You are also responsible for determining the legality of charging no-show fees in your jurisdiction.

5. Client Confirmation and Payment Processing

When a groomer sends a confirmation link to a client:

  • The client will be presented with the appointment details and the groomer's cancellation policy
  • The client saves their payment card via Stripe's secure interface. No card data is stored by Groomly — all payment data is handled by Stripe
  • No charge is made to the client's card at the time of confirmation
  • If the client does not appear for the appointment and does not cancel within the groomer's configured cancellation window, the card on file will be charged the no-show fee set by the groomer
  • Both the groomer and the client will be notified of any charges via the platform

Groomly uses Stripe for all payment processing. By using Groomly, you agree to Stripe's Terms of Service (stripe.com/terms) and Stripe Connect Terms (stripe.com/connect-account/legal). Groomly does not store, process, or have access to full card numbers or sensitive payment data.

Groomers receive payouts directly to their connected Stripe account. Groomly does not hold groomer funds. Payout timing is subject to Stripe's standard payout schedule.

6. Chargebacks, Payment Disputes, and Groomer Liability

A chargeback occurs when a client disputes a no-show charge directly with their bank or card issuer. You acknowledge and agree that:

  • Chargebacks are a risk inherent to card-on-file payment models and are managed by Stripe under its own dispute resolution process
  • Groomly is not liable for any chargeback, refund, or disputed payment initiated by a client — whether the charge was legitimate or not
  • When a chargeback is initiated, Stripe may temporarily deduct the disputed amount from the groomer's Stripe balance pending resolution
  • Groomers are responsible for responding to chargeback disputes directly through their Stripe dashboard with appropriate evidence (e.g., the client's confirmation record, the cancellation policy shown at booking)
  • Groomly will provide reasonable assistance by making available the appointment confirmation record and timestamp upon request, but cannot guarantee any particular outcome in a dispute
  • Repeated chargebacks may result in Stripe restricting or terminating the groomer's Stripe account, which is outside Groomly's control

By using Groomly, you acknowledge that you — not Groomly — are the merchant of record for no-show fee transactions and bear full responsibility for any chargebacks or disputes arising from those charges.

7. Pricing, Billing, and Refunds

7.1 Subscription Pricing

Groomly offers the following subscription plans:

  • Founding Groomer — Monthly: $29/month, locked forever for the first 25 subscribers
  • Founding Groomer — Annual: $249/year, locked forever for the first 25 subscribers
  • Standard — Monthly: $49/month (after founding spots are filled)
  • Standard — Annual: $399/year (after founding spots are filled)

"Locked forever" means the price you subscribe at will not increase for as long as your subscription remains active and uninterrupted. If your subscription lapses — due to cancellation, failed payment, or any other reason — and you re-subscribe, the locked price is forfeited and standard pricing applies. Groomly reserves the right to change pricing for new subscribers at any time.

7.2 Billing

Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Billing is processed via Stripe. You authorize Groomly to charge your payment method on the applicable billing cycle.

If a payment fails, Groomly will attempt to retry. If payment remains unsuccessful after reasonable retry attempts, access to the Service may be suspended until payment is resolved.

7.3 30-Day Money-Back Guarantee

If you are not satisfied with Groomly for any reason, you may request a full refund within 30 days of your initial purchase. To request a refund, email hello@groomly.app with your account email and reason for the refund. Refunds are processed within 5-10 business days to your original payment method via Stripe.

The money-back guarantee applies only to the first subscription payment and cannot be combined with other offers. After 30 days, subscription payments are non-refundable, but you may cancel at any time to stop future billing.

7.4 Cancellation and Data Access After Cancellation

You may cancel your subscription at any time from your account dashboard. Upon cancellation:

  • You retain full access to the Service until the end of your current billing period
  • After the billing period ends, your account is downgraded to read-only for 30 days, during which you can export your appointment history
  • After 30 days in read-only mode, your account and associated data will be scheduled for deletion in accordance with our Privacy Policy
  • No partial refunds are issued for unused time after the 30-day money-back guarantee period

To export your data before account deletion, contact hello@groomly.app during the 30-day read-only window.

8. Prohibited Uses

You agree NOT to use Groomly to:

  • Charge clients for services not agreed upon or disclosed in advance
  • Create fraudulent appointment records to charge clients without a legitimate booking
  • Harass, threaten, or discriminate against clients
  • Attempt to reverse-engineer, copy, or circumvent the platform's security
  • Resell or sublicense access to the Service
  • Use the platform in any way that violates applicable law
  • Enter personal data of third parties (clients) without having the lawful basis to do so under applicable data protection law

9. Force Majeure and Service Availability

Groomly shall not be liable for any failure or delay in providing the Service resulting from causes beyond its reasonable control, including but not limited to:

  • Outages or failures of third-party services (including Stripe, Supabase, Vercel, or Twilio)
  • Internet or network failures
  • Acts of God, natural disasters, pandemics, or government actions
  • Cyberattacks, DDoS attacks, or security incidents beyond our control
  • Changes to Stripe's policies or platform that affect payment processing

In particular, if a technical failure prevents a no-show fee from being charged automatically, Groomly is not liable for the resulting loss to the groomer. Groomers may attempt to charge no-show fees manually through their Stripe dashboard in such cases.

Groomly will make reasonable efforts to restore service as quickly as possible and will communicate significant outages to groomer users by email.

10. Intellectual Property

All content, features, and functionality of the Groomly platform — including but not limited to the software, design, text, graphics, and logos — are owned by Groomly and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period. This licence does not permit you to copy, modify, distribute, or create derivative works from any part of the Service.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

GROOMLY DOES NOT GUARANTEE THAT: (A) THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; (B) ANY PARTICULAR NO-SHOW FEE WILL BE SUCCESSFULLY COLLECTED; (C) CLIENTS WILL NOT DISPUTE OR CHARGEBACK CHARGES; (D) THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROOMLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO GROOMLY IN THE 12 MONTHS PRECEDING THE CLAIM.

GROOMLY IS NOT LIABLE FOR: DISPUTES OR CHARGEBACKS BETWEEN GROOMERS AND CLIENTS; FAILED PAYMENTS DUE TO INSUFFICIENT FUNDS OR CARD DECLINES; LOSSES ARISING FROM YOUR USE OF THE SERVICE IN VIOLATION OF THESE TERMS; STRIPE ACCOUNT RESTRICTIONS OR TERMINATIONS; OR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND.

12. Indemnification

You agree to indemnify, defend, and hold harmless Groomly and its operator from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your grooming services or client relationships; (d) any dispute or chargeback initiated by your clients; or (e) your failure to obtain lawful consent from clients before entering their data into the platform.

13. Termination

Groomly may suspend or terminate your account immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to access the Service ceases immediately. Groomly may retain your data for a period required by law or for legitimate business purposes, as described in the Privacy Policy.

You may terminate your account at any time by cancelling your subscription and contacting hello@groomly.app.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Spain, without regard to conflict of law provisions.

For users located in the European Union: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain. EU consumers may also have the right to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

For users located in the United States: In addition to any other remedies, disputes may be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Class action arbitration is not permitted. This arbitration clause does not apply to claims for injunctive relief or intellectual property disputes.

For any complaint or dispute with Groomly, please contact us first at hello@groomly.app. We will make every effort to resolve the issue within 15 business days before any formal proceedings are initiated.

15. Changes to These Terms

Groomly reserves the right to update these Terms at any time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date at the top of this document. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
